Please read these Terms of Use (“Terms”) carefully before using the [App Name] mobile application (“App”) operated by [Kaya Smart LLC] (“us”, “we”, or “our”).
By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access or use the App.
- Use of the App
The App is designed to help users share content from Instagram, subject to these Terms and Instagram’s terms of service. You acknowledge and agree that you are solely responsible for obtaining the necessary rights and permissions from the content owner before reposting or sharing any content through the App.
By using this App, you agree to our Terms and that it is your legal responsibility to make sure that you have permission to post all media that you are reposting. You must directly contact and receive permission from all copyright owners of media before reposting. We will not be liable for any claims regarding copyright as you agree that it your responsibility to get permission to post all media that you post and that you will not post content without permission from copyright owners.
You must not use the app to infringe or violate any copyright or other intellectual property rights, or to violate any laws, regulations, or third-party rights. You are responsible for obtaining all necessary permissions and clearances from copyright owners before reposting any media. If you are found to violate these terms, we reserve the right to ban you from using the service.
Attribution is mandatory when reposting media using Repost for Instagram PRO. You must give appropriate credit to the original creator by adding a watermark or caption tag as agreed upon with the copyright owner. You must not use any media obtained through Repost for Instagram PRO for any other purpose.
We reserve the right to remove any content from the Services at any time, for any reason, including but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such content, or if we believe that the content violates our terms of use or any applicable laws.
You understand and acknowledge that you are responsible for any content you submit, contribute, share, or otherwise transmit through the Services, and you, not the company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
- Intellectual Property and Content Rights
All content shared or reposted through the App remains the property of the original content owner. By using the App, you represent and warrant that you have the right, authority, and permission to share or repost the content in question. You agree not to use the App to share or repost any content that infringes upon the rights of any third party, including but not limited to copyright, trademark, privacy, or other personal or proprietary rights.
- User Conduct
You agree not to use the App to harass, abuse, or defame other users or third parties, or to share or repost content that is obscene, offensive, or otherwise objectionable. You understand that [Kaya Smart LLC ] reserves the right to terminate your access to the App without notice if we determine, in our sole discretion, that you have violated these Terms or any applicable laws or regulations.
- Disclaimer of Warranties and Limitation of Liability
The App is provided on an “as is” and “as available” basis, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Kaya Smart LLC, its affiliates, or Apple, Inc. be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the App, whether based on warranty, contract, tort, or any other legal theory, whether or not Kaya Smart LLC has been informed of the possibility of such damage.
- Indemnification
You agree to defend, indemnify, and hold harmless Kaya Smart LLC, its affiliates, and Apple, Inc. from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of your use of the App, your violation of these Terms, or your infringement of any third party rights, including but not limited to copyright, trademark, privacy, or other personal or proprietary rights.
- Changes to These Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the App after any changes to these Terms constitutes your acceptance of the new terms.
- Governing Law
These Terms shall be governed and construed in accordance with the laws of USA/DE, without regard to its conflict of law provisions.
8. Payment & Unlocking Premium Features
The basic version of Repost is available for free. To access further features, users can subscribe to a Repost+ Membership within the App and pay via an auto-renewing subscription from Apple’s iTunes store. Repost+ premium features are purchased online or via Apple’s iTunes store. When you purchase these features, you are also subject to the iTunes terms of service.
- Payment will be charged to iTunes Account at confirmation of purchase.
- Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period.
- Account will be charged for renewal within 24-hours prior to the end of the current period at the price of subscription noted below.
- Subscriptions may be managed by the user: you can modify or cancel your subscription at any time by signing in to your iTunes account on your computer or iOS and changing the settings. For more details on this please visit: http://support.apple.com/kb/HT4098
- Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.
9. Renewals and cancellations
Your subscription is automatically renewed at the end of the subscription period. Certain subscription offerings may offer a free trial prior to charging your payment method, the period of which will be communicated to you via the App. If you do not want your card to be charged, you must turn off auto-renew at least 24-hours before the end of the free trial period. Otherwise, you will be responsible for payment for the full term of the subscription period.
You can modify or cancel your subscription at any time by signing in to your iTunes account on your computer or iOS or Android device and changing the settings. For more details please visit: http://support.apple.com/kb/HT4098.
10. Refunds
Your payment is managed by Apple via iTunes and you will need to contact Apple customer service for refunds, as we are not able to process refunds ourselves.
